1. Service Description

Welcome to olivenite.net, a software-as-a-service (SaaS) platform provided by Olivenite. These Terms of Service (the "Agreement") govern your access to and use of the olivenite.net website, applications, and associated cloud-based services (collectively, the "Service"). The Service is designed to provide users with robust, scalable, and secure software tools tailored to our industry. By accessing or using the Service, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

The Service is licensed, not sold, to you. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with this Agreement. This Agreement is subject to the Uniform Commercial Code (UCC) Article 2 as adopted by the states to the extent applicable, and where the Service involves computer information transactions, the Uniform Computer Information Transactions Act (UCITA, adopted only in MD/VA/LA) may apply. We reserve all rights not expressly granted to you herein. The Service is provided on an "as-is" and "as-available" basis, and we continuously strive to improve the functionality, security, and performance of the platform.

We may update, modify, or enhance the Service from time to time to reflect technological advancements, regulatory requirements, or user feedback. Any such updates will be subject to this Agreement unless otherwise specified. We may also offer additional features, modules, or services that are subject to additional terms and conditions. By utilizing the Service, you acknowledge that you have read and understood our privacy practices as detailed in our Privacy Policy (privacy-notice.php) and our use of cookies as described in our Cookie Policy (cookie_agreement.php).

2. User Accounts

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username and password, and for all activities that occur under your account. You agree to immediately notify Olivenite of any unauthorized use of your account or any other security breach.

You must be at least 13 years of age to create an account and use the Service. We comply with the Children's Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA), and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments). We do not knowingly collect personal information from children under 13. If we become aware that we have inadvertently gathered information from a child under 13, we will take steps to delete such information. If you believe we have collected such information, please contact us immediately.

You are responsible for all content posted, uploaded, or transmitted through your account, as well as all interactions with other users. You agree to use the Service in compliance with all applicable local, state, national, and international laws and regulations. We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that your account information is inaccurate, outdated, or incomplete, or if you have violated any provision of this Agreement.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Service. Your use of the Service must strictly comply with the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act — unfair/deceptive practices), meaning you shall not use the Service to engage in any unfair or deceptive acts or practices in or affecting commerce.

You agree not to use the Service to violate any sector-specific regulations, including the Health Insurance Portability and Accountability Act (HIPAA) where applicable, or the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801-6809 (GLBA) for financial institutions. If your use of the Service involves processing protected health information or financial data, you are solely responsible for ensuring compliance with HIPAA, GLBA, and any other applicable privacy and security regulations. Olivenite is not a covered entity or business associate under HIPAA unless a separate Business Associate Agreement has been explicitly executed.

Furthermore, you must comply with all applicable state comprehensive privacy laws, including the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and State comprehensive privacy laws (TX, OR, MT, FL, TN, etc.). You must honor opt-out requests and privacy signals, such as Global Privacy Control (GPC), as required under the California Consumer Privacy Act as amended by CPRA — 'Do Not Sell or Share My Personal Information' / Global Privacy Control obligations (Cal. Civ. Code § 1798.120, § 1798.135).

4. Prohibited Activities

You are strictly prohibited from engaging in any activity that interferes with or disrupts the Service, servers, or networks connected to the Service. This includes, but is not limited to, attempting to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or other means. You may not use the Service to transmit any software viruses, worms, bots, Trojan horses, or other malicious code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

Reverse engineering, decompiling, or otherwise attempting to extract the source code of the Service, except to the extent that such restriction is expressly prohibited by applicable law, is strictly forbidden. You may not use any automated system, including robots, spiders, or scrapers, to access the Service for any purpose without our express written permission. Additionally, you may not use the Service to send unsolicited communications, promotions, or advertisements (spam) to other users, or to engage in cross-border fraud or deceptive practices prohibited under the SAFE WEB Act permanently reauthorized 2015 (21st Century DOJ/Apps Act-era codification, 15 U.S.C. § 8401 note).

Violating any of these prohibited activities may result in immediate suspension or termination of your account, and may subject you to civil and criminal penalties. We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities in prosecuting users who engage in illegal activities. You acknowledge that we may monitor your use of the Service to ensure compliance with this Agreement, subject to applicable laws such as the Electronic Communications Privacy Act, 18 U.S.C. § 2511 (limited application) and State wiretapping/cpw statutes (e.g., California Invasion of Privacy Act § 631, session-replay litigation).

5. Content Ownership

The Service, including its design, features, and underlying software, is owned by Olivenite and is protected by United States and international copyright, trademark, and other intellectual property laws. All right, title, and interest in and to the Service, including all modifications, enhancements, and updates, remain the sole and exclusive property of Olivenite. You acknowledge that no title or ownership rights are transferred to you under this Agreement.

You retain all ownership rights in any content, data, or information you submit, upload, or transmit to the Service ("User Content"). By submitting User Content, you grant Olivenite a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, and display such User Content solely for the purpose of operating, providing, and improving the Service. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate the rights of any third party.

We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content on the Service infringes your copyright or other intellectual property rights, please contact us at [email protected] with a detailed description of the alleged infringement. We will investigate and take appropriate action in accordance with applicable laws, including the Digital Millennium Copyright Act (DMCA).

6. User-Generated Content

The Service may allow users to post, upload, or transmit User Content that can be viewed by other users or the public. You are solely responsible for your User Content and the consequences of posting or publishing it. We do not endorse, support, or guarantee the accuracy, completeness, or reliability of any User Content. We are not liable for any User Content, and we disclaim all responsibility for any loss or damage resulting from your reliance on User Content.

You agree not to post, upload, or transmit any User Content that is illegal, defamatory, harassing, hateful, or otherwise objectionable. You must not post any content that infringes the intellectual property rights, privacy rights, or other rights of any third party. We reserve the right, but have no obligation, to monitor, review, or remove User Content at any time, without prior notice, if we believe it violates this Agreement or is otherwise harmful to the Service or its users.

If you encounter any User Content that you believe violates this Agreement, please report it to us at [email protected]. We will investigate the report and take appropriate action. By using the Service, you acknowledge that you may be exposed to User Content that is inaccurate or offensive, and you agree that Olivenite shall not be liable for any damages arising from such exposure.

7. Payment Terms

Some features of the Service may require payment of fees. If you elect to use paid features, you agree to pay all applicable fees as described on the Service or in a separate agreement. Fees are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable, except as required by law or expressly stated otherwise. We may change our fees at any time, but we will provide you with prior notice of any fee changes.

In compliance with the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), we provide clear and conspicuous disclosure of all material terms of any negative-option feature (such as automatic renewals) before you submit your payment information. By enrolling in a subscription, you expressly consent to the recurring billing terms and authorize Olivenite to charge your designated payment method until you cancel. You may cancel your subscription at any time through your account settings or by contacting us at [email protected], and cancellation will be effective at the end of the current billing cycle.

You are responsible for providing accurate and current payment information. If a payment is not received or is declined, we may suspend or terminate your access to the Service. All fees are exclusive of applicable taxes, which you are responsible for paying. We may engage third-party payment processors to handle your payment information, and we do not store your full credit card details on our servers.

8. Service Modifications

We are constantly innovating and improving our Service. We reserve the right to modify, suspend, or discontinue the Service, or any part of it, at any time and without notice. We may also impose limits on certain features of the Service or restrict access to parts or all of the Service without notice or liability. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

If we make any material changes to the Service that adversely affect your ability to use it in accordance with this Agreement, we will use reasonable efforts to provide you with prior notice. However, in certain circumstances, such as security vulnerabilities or legal requirements, we may need to make changes immediately without prior notice. We encourage you to review this Agreement and our Service descriptions regularly to stay informed of any updates.

Any new features or tools added to the Service will also be subject to this Agreement, unless we provide separate terms and conditions for those features. We may also release updates or new versions of the Service that require you to update your software or devices to maintain compatibility.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Olivenite, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, arising out of or related to your use of, or inability to use, the Service. This limitation of liability applies regardless of the legal theory under which the damages are sought, whether in contract, tort, or otherwise.

The total aggregate liability of Olivenite for any claims arising out of or related to this Agreement or the Service shall not exceed the amount you have paid to Olivenite in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You acknowledge that the Service is provided for informational and operational purposes only and is not intended to provide legal, medical, financial, or professional advice. You should consult with a qualified professional before making any decisions based on your use of the Service. We do not warrant that the Service will be error-free, uninterrupted, or secure, or that any defects will be corrected.

10. Termination

This Agreement will remain in effect until terminated by either party. You may terminate your account and stop using the Service at any time by following the instructions in your account settings or by contacting us at [email protected]. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach this Agreement or if we are required to do so by law.

Upon termination, your right to use the Service will immediately cease. You should export any User Content you wish to retain before terminating your account, as we may delete your User Content shortly after termination. We may also retain certain information as required by law or for legitimate business purposes, such as to prevent fraud or enforce our rights.

All provisions of this Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. If you have a paid subscription, we will not refund any fees paid prior to termination, except as required by law or expressly stated in this Agreement.
