Terms and Conditions
Last Updated: September 2026
1. Acceptance of Terms
Welcome to olivenite.net. These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User," "you," or "your") and Olivenite ("Company," "we," "us," or "our"), concerning your access to and use of our website at olivenite.net as well as any other web-based platform, application, or software-as-a-service (SaaS) product we provide (collectively, the "Service"). By accessing, browsing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with all of the provisions of these Terms, you must not access or use the Service.
In accordance with the United States' notice-and-choice model, your continued use of the Service following the posting of any changes to these Terms constitutes your acceptance of those changes. We comply with the Restore Online Shoppers' Confidence Act, 15 U.S.C. §§ 8401-8405 (ROSCA), and therefore, your acceptance of these Terms is not a condition to the purchase of any good or service unless you explicitly consent to a paid subscription. If you are accepting these Terms on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind that entity to these Terms, in which case the terms "you" and "your" will refer to that entity.
These Terms integrate by reference our Privacy Policy and Cookie Policy. You should review these documents to understand how we collect, use, and protect your personal information. By using the Service, you also consent to the data collection and tracking practices described in those policies. Furthermore, these Terms are subject to the Federal Trade Commission Act § 5, 15 U.S.C. § 45 (FTC Act), which prohibits unfair or deceptive acts or practices, ensuring that our representations to you are accurate and enforceable.
2. Use of Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes, strictly in accordance with these Terms and our acceptable use policies. The Service is provided on a software-as-a-service (SaaS) basis, meaning you access the platform remotely via the internet rather than installing software locally. Your use of the Service must comply with all applicable local, state, national, and international laws, including but not limited to the Uniform Computer Information Transactions Act (UCITA, adopted only in MD/VA/LA) where applicable, and the Uniform Commercial Code (UCC) Article 2 as adopted by the states, which may govern aspects of digital goods and commercial transactions.
To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You agree to immediately notify Olivenite of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
Your use of the Service is also subject to our compliance with various United States data protection and privacy regulations. We operate under a notice-and-choice framework, meaning we provide you with notice of our practices and choices regarding your data, as detailed in our Privacy Policy. We adhere to the California Consumer Privacy Act as amended by the CPRA (Cal. Civ. Code § 1798.100 et seq.), the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), the Colorado Privacy Act (C.R.S. § 6-1-1300 et seq.), the Connecticut Data Privacy Act (Conn. Gen. Stat. § 42-515 et seq.), the Utah Consumer Privacy Act (Utah Code § 13-11-101 et seq.), and other State comprehensive privacy laws (TX, OR, MT, FL, TN, etc.).
We employ cookies and similar tracking technologies to operate and improve the Service. Our use of these technologies complies with the California Consumer Privacy Act as amended by CPRA — 'Do Not Sell or Share My Personal Information' / Global Privacy Control obligations (Cal. Civ. Code § 1798.120, § 1798.135), the Electronic Communications Privacy Act, 18 U.S.C. § 2511 (limited application), and relevant state wiretapping/cpw statutes (e.g., California Invasion of Privacy Act § 631, session-replay litigation). For detailed information on how we use cookies and your choices regarding them, please review our Cookie Policy.
3. User Obligations
As a condition of your right to use the Service, you agree to comply with all applicable laws and regulations. You are strictly prohibited from using the Service in any manner that could infringe the rights of others, disrupt the Service, or engage in any unlawful, harmful, or fraudulent activity. You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software underlying the Service, except to the extent such restriction is expressly prohibited by applicable law.
You are solely responsible for all content, data, and materials you upload, submit, or transmit through the Service ("User Content"). You represent and warrant that you own or have the necessary rights to use your User Content and that it does not violate any third-party intellectual property rights, privacy rights, or applicable laws. If your User Content involves the personal information of consumers, you are responsible for ensuring your collection and submission of such data complies with all applicable privacy laws, including the Children's Online Privacy Protection Act, 15 U.S.C. §§ 6501-6506 (COPPA), and the COPPA Rule as amended effective June 2025 (16 C.F.R. Part 312, 2025 amendments), which requires verifiable parental consent before collecting data from children under 13.
Depending on your industry and use of the Service, you may also be subject to sector-specific privacy regulations. If you use the Service to process protected health information, you must comply with the Health Insurance Portability and Accountability Act (HIPAA) where applicable. If you are a financial institution using the Service for consumer financial data, you must comply with the Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801-6809 (GLBA) for financial institutions. Olivenite does not act as a covered entity or business associate under HIPAA, nor as a financial institution under GLBA, unless a separate specialized agreement is executed.
You agree not to interfere with or disrupt the servers or networks connected to the Service, nor will you attempt to gain unauthorized access to the Service, other accounts, or computer systems. Any violation of these obligations may result in immediate termination of your account and may subject you to civil and criminal liability.
4. Intellectual Property Rights
The Service, including its design, features, and underlying software, is owned by Olivenite and is protected by United States and international intellectual property laws. All right, title, and interest in and to the Service, including all copyrights, trademarks, trade secrets, and patents, remain the sole and exclusive property of Olivenite. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited license expressly provided herein.
We respect the intellectual property rights of others and expect our users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and other applicable copyright laws. If you believe that any content on the Service infringes your copyright, you may submit a notification of claimed infringement to our designated copyright agent at [email protected]. We reserve the right to remove any allegedly infringing material upon receipt of a valid notice.
By submitting User Content to the Service, you grant Olivenite a worldwide, non-exclusive, royalty-free, fully-paid, sublicensable, and transferable license to use, reproduce, distribute, modify, and display such User Content for the purpose of operating, maintaining, and improving the Service. You retain all ownership rights in your User Content. However, you are solely responsible for backing up your User Content, as we are not liable for any loss or corruption of data stored on the Service.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Olivenite, its affiliates, directors, officers, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, lost profits, lost revenue, loss of data, or business interruption, arising out of or in connection with your use of, or inability to use, the Service. This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or any other legal theory.
Because some jurisdictions do not allow the exclusion or limitation of certain damages, some of the exclusions and limitations in this section may not apply to you. However, our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to Olivenite for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100.00) if you have not paid for the Service.
You acknowledge that the Service is provided on an "as is" and "as available" basis, and that the limitations of liability set forth herein are an essential basis of the bargain between you and Olivenite. You agree that the limitations and exclusions of liability are reasonable and necessary to allow us to provide the Service at its current cost.
6. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. Olivenite EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
We make no representations or warranties regarding the accuracy, completeness, or reliability of any information or content provided through the Service. You rely on the Service at your own risk. Any reliance on such information is strictly at your own risk, and we are not liable for any damages resulting from such reliance. We may modify or discontinue the Service at any time without notice, and we will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
No advice or information, whether oral or written, obtained by you from Olivenite or through the Service, shall create any warranty not expressly stated in these Terms. You are responsible for ensuring that the Service meets your specific requirements and for evaluating the accuracy of any data obtained through the Service.
7. Indemnification
You agree to indemnify, defend, and hold harmless Olivenite, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, lawsuits, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights, including intellectual property and privacy rights; or (d) your User Content.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You may not settle any matter without our prior written consent. This indemnification obligation will survive the termination of your account or these Terms.
If you are a business entity, your indemnification obligations shall extend to your employees, contractors, and agents who use the Service under your account. You agree to maintain adequate insurance coverage to satisfy your indemnification obligations hereunder.
8. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
You and Olivenite agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes, except as otherwise provided in the Dispute Resolution section below. You waive any objection to venue in these courts and any claim that such courts are an inconvenient forum.
Notwithstanding the foregoing, we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information. The Uniform Commercial Code (UCC) Article 2 as adopted by the states, and the Uniform Computer Information Transactions Act (UCITA, adopted only in MD/VA/LA) may apply to the extent not preempted by Delaware law.
9. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and Olivenite (collectively, "Disputes") will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify and you remain in that court. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. You and Olivenite agree that each may bring claims against the other only in your respective individual capacity, and expressly waive any right to bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding. This class action waiver is a material term of these Terms.
Before filing a claim for arbitration, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. If the dispute is not resolved within thirty (30) days, either party may initiate arbitration. The Federal Arbitration Act, 9 U.S.C. §§ 1-16, governs the interpretation and enforcement of this Dispute Resolution section.
We comply with the SAFE WEB Act permanently reauthorized 2015 (21st Century DOJ/Apps Act-era codification, 15 U.S.C. § 8401 note), which allows us to share information with foreign law enforcement agencies to combat cross-border fraud and deceptive practices. Any arbitration or dispute resolution shall respect these statutory obligations.
10. Termination
We may suspend or terminate your access to the Service, and your account, at any time, with or without cause, and with or without notice. Upon termination, all licenses and rights granted to you under these Terms will immediately cease. You must cease all use of the Service and destroy any materials downloaded or obtained from the Service.
You may terminate your account at any time by following the instructions on the Service or contacting us at [email protected]. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations for services rendered, or any provisions of these Terms that by their nature should survive termination, such as Intellectual Property Rights, Limitation of Liability, Disclaimers, and Indemnification.
If we terminate your account due to your violation of these Terms, we may also take any other legal action we deem appropriate, including reporting you to law enforcement authorities if we believe you have engaged in unlawful conduct. We are not liable to you or any third party for any termination of your account or access to the Service.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice through the Service or by sending an email to the address associated with your account. What constitutes a material change will be determined at our reasonable discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service. We will update the "Last Updated" date at the top of these Terms to reflect the date of the most recent revisions.
You are responsible for reviewing these Terms periodically to stay informed of any updates. Your continued use of the Service following the posting of modified Terms is your acceptance of the changes and constitutes your agreement to be bound by the updated Terms.
